Terms of Use

Effective October 12, 2026

These Terms of Use (“Terms”) govern your access to and use of the websites, applications, services, content, and other online properties operated by Developer Network LLC, an Idaho limited liability company (“Developer Network,” “Company,” “we,” “us,” or “our”).

These Terms apply to https://developernetwork.io and any other website, application, or service that links to these Terms (collectively, the “Services”).

By accessing or using the Services, you agree to these Terms.

If you do not agree to these Terms, do not use the Services.

1. Relationship to Other Agreements

These Terms govern general use of the Developer Network Services.

Paid memberships are also governed by the Developer Network Membership Agreement.

Individual paid projects may also be governed by a separate project agreement, statement of work, independent contractor agreement, or similar agreement (“Project Agreement”).

Developer Network's collection and use of personal information is described in the Developer Network Privacy Policy.

If there is a conflict:

  1. a Project Agreement controls with respect to the specific project it governs;
  2. the Membership Agreement controls with respect to paid membership matters; and
  3. these Terms control with respect to general use of the Services.

2. Eligibility

You must be at least 18 years old to create an account or participate in Developer Network membership or projects.

By using the Services, you represent that:

  • you are legally capable of entering into a binding agreement;
  • the information you provide is accurate and complete;
  • you will comply with applicable laws; and
  • your use of the Services does not violate another agreement binding on you.

Developer Network may restrict availability of certain Services based on geography, legal requirements, project requirements, or other legitimate business considerations.

3. Accounts

Certain features require an account.

You agree to:

  • provide accurate account information;
  • keep your information current;
  • maintain the confidentiality of your login credentials;
  • use reasonable measures to protect your account;
  • notify Developer Network promptly if you suspect unauthorized access; and
  • accept responsibility for activity occurring through your account to the extent permitted by law.

Accounts are personal to the registered user.

You may not sell, transfer, share, or allow another individual to impersonate you through your account.

Developer Network may require identity or account verification.

4. Membership

Paid membership is governed by the Developer Network Membership Agreement.

Membership may provide access to features including:

  • professional network participation;
  • account and membership tools;
  • Project Access Credits;
  • project-request functionality;
  • professional resources;
  • networking opportunities;
  • community features; and
  • other services introduced by Developer Network.

Membership does not guarantee employment, work, projects, income, or compensation.

5. Project Opportunities

Developer Network may make compensated project opportunities available to eligible Members.

The availability, scope, duration, requirements, and compensation for individual projects may vary.

Nothing displayed through the Services constitutes a promise that:

  • a project will be available;
  • you will be offered or selected for a project;
  • a particular project will remain available;
  • a project will include any minimum number of hours; or
  • you will receive any particular level of compensation.

A separate Project Agreement may be required before beginning compensated work.

6. No Employment Relationship Created by Website Use

Using Developer Network, creating an account, joining the network, earning Project Access Credits, or requesting a project does not by itself create an employment relationship with Developer Network.

The relationship applicable to individual compensated projects will be specified in the applicable Project Agreement and subject to applicable law.

7. Acceptable Use

You may use the Services only for lawful purposes and in accordance with these Terms.

You may not:

  • use the Services for unlawful, fraudulent, deceptive, or abusive activity;
  • misrepresent your identity, skills, qualifications, employment history, experience, or other information;
  • create duplicate or fraudulent accounts;
  • manipulate the credit, referral, membership, project, payment, or compensation systems;
  • attempt to obtain unauthorized access to accounts, systems, databases, networks, or information;
  • interfere with the operation or security of the Services;
  • introduce malware, viruses, malicious code, or harmful software;
  • scrape, crawl, harvest, index, extract, or systematically collect information from the Services through automated means without written authorization;
  • reverse engineer, decompile, disassemble, or attempt to derive source code from Developer Network software except where applicable law expressly permits it;
  • bypass access controls, rate limits, security measures, or restrictions;
  • use bots or automation to create accounts or manipulate the Services;
  • impersonate Developer Network, another Member, or another person;
  • harass, threaten, abuse, discriminate against, or harm other users;
  • upload material that infringes intellectual-property, privacy, publicity, or other rights;
  • use information obtained through Developer Network to send spam or unsolicited mass communications;
  • collect personal information about other Members without authorization;
  • disclose confidential Member or Developer Network information; or
  • use the Services in a manner that could materially harm Developer Network, its Members, infrastructure, or reputation.

Developer Network may investigate suspected violations and take reasonable action to protect the Services and its users.

8. Community and User Content

Developer Network may allow Members to submit profile information, messages, reviews, feedback, comments, files, portfolio information, project materials, or other content (“User Content”).

You retain ownership of User Content that you own.

You grant Developer Network a non-exclusive, worldwide, royalty-free license to host, store, reproduce, process, display, and transmit User Content as reasonably necessary to:

  • operate the Services;
  • display information you choose to make available;
  • provide requested services;
  • administer projects;
  • prevent fraud and abuse; and
  • comply with legal obligations.

This license does not give Developer Network ownership of your User Content.

You represent that you have the rights necessary to provide any User Content you submit.

Developer Network may remove User Content that violates these Terms, applicable law, or the rights of another person.

9. Feedback

If you provide suggestions, ideas, feature requests, comments, or other feedback concerning Developer Network, you grant Developer Network the right to use that feedback without restriction or compensation to you.

This does not transfer ownership of confidential information, project deliverables, or other material governed by a separate written agreement.

10. Developer Network Intellectual Property

The Services, including their software, interface, branding, logos, graphics, designs, documentation, text, databases, functionality, and other content created by Developer Network, are owned by Developer Network or its licensors and are protected by intellectual-property laws.

Subject to these Terms, Developer Network grants you a limited, revocable, non-exclusive, non-transferable right to use the Services for their intended purposes.

No other rights are granted.

You may not use Developer Network trademarks, logos, branding, or trade dress without written permission except as permitted by applicable law.

11. Project Intellectual Property

Intellectual-property rights relating to work performed as part of a compensated project are governed by the applicable Project Agreement.

Do not assume that membership gives you ownership rights in project materials, source code, designs, data, or other intellectual property supplied in connection with a project.

12. Confidential Information

Through the Services or project participation, you may receive confidential or non-public information belonging to Developer Network or other Members.

You may use confidential information only for the purpose for which it was provided.

You may not disclose confidential information to unauthorized persons.

Additional confidentiality obligations may apply under a Project Agreement or separate nondisclosure agreement.

13. Payments

Payments for memberships are governed by the Membership Agreement.

Project compensation is governed by the applicable Project Agreement.

Developer Network may use third-party payment processors.

You agree to provide accurate payment and billing information when required.

Developer Network does not necessarily receive or store complete payment-card information when transactions are processed by third-party payment processors.

14. Taxes

You are responsible for taxes imposed on you in connection with payments you receive through Developer Network except taxes that applicable law specifically requires Developer Network to collect, withhold, or pay.

Developer Network may request tax documentation and may issue tax reporting forms when required by law.

Developer Network may integrate with or link to third-party websites, products, software, payment processors, authentication providers, communication systems, project-management tools, or other services.

Third-party services are governed by their own terms and privacy practices.

Developer Network does not control and is not responsible for third-party services except to the extent required by applicable law.

A link or integration does not necessarily constitute endorsement of a third party.

16. Service Availability

Developer Network may add, remove, modify, suspend, or discontinue features of the Services.

We do not guarantee that every feature will always be available or that the Services will operate without interruption.

Developer Network may temporarily restrict access for maintenance, security, upgrades, legal requirements, capacity limitations, or other operational reasons.

17. Communications

By creating an account or using the Services, you agree that Developer Network may send you transactional and administrative communications relating to:

  • your account;
  • security;
  • billing;
  • membership;
  • projects;
  • payments;
  • legal notices;
  • changes to the Services; and
  • customer support.

Where required, marketing communications will be handled separately from transactional communications and will include legally required opt-out mechanisms.

18. Privacy

Your use of the Services is subject to the Developer Network Privacy Policy.

The Privacy Policy explains the categories of information Developer Network may collect, why it is collected, how it may be shared, and choices available to users.

19. Security

Developer Network uses reasonable administrative, technical, and organizational measures designed to protect information and systems.

However, no internet service, network, database, or storage system can be guaranteed to be completely secure.

You are responsible for using reasonable security practices, including protecting your account credentials and devices.

If you discover a potential security vulnerability involving Developer Network, please report it to us rather than exploiting or publicly disclosing it.

Developer Network respects intellectual-property rights.

If you believe content available through the Services infringes your copyright, you may contact Developer Network with information reasonably sufficient to identify:

  • the copyrighted work;
  • the allegedly infringing material;
  • its location;
  • your contact information;
  • a statement of your good-faith belief that the use is unauthorized; and
  • a statement that the information in your notice is accurate and that you are authorized to act on behalf of the rights holder.

Send notices to:

Developer Network LLC
Email: info@developernetwork.io

Developer Network may remove content when appropriate.

21. Suspension and Termination

Developer Network may suspend, restrict, or terminate access to the Services if reasonably necessary because of:

  • material violation of these Terms;
  • violation of the Membership Agreement or a Project Agreement;
  • fraud or suspected fraud;
  • abuse;
  • nonpayment;
  • security concerns;
  • unlawful conduct;
  • intellectual-property infringement;
  • material harm to another Member or Developer Network; or
  • legal or regulatory requirements.

Where appropriate and reasonably practicable, Developer Network may provide notice before terminating access.

You may stop using the Services at any time.

Cancellation of a paid membership is governed by the Membership Agreement.

22. Effect of Termination

Provisions that by their nature should continue after termination will survive, including provisions concerning:

  • intellectual property;
  • confidentiality;
  • completed payment obligations;
  • limitations of liability;
  • disclaimers;
  • indemnification;
  • dispute resolution; and
  • governing law.

Termination does not eliminate compensation properly earned under an applicable Project Agreement.

23. No Insurance or Financial Product

Developer Network is a professional membership and project-access network.

Developer Network is not an insurance company, bank, investment adviser, broker, unemployment-insurance provider, savings account, investment product, or income-replacement product.

Project Access Credits have no cash value.

Payments for completed project work are compensation for actual services performed and are not insurance benefits, withdrawals, investment returns, or refunds of membership fees.

24. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.”

DEVELOPER NETWORK DISCLAIMS WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY OTHER WARRANTIES TO THE EXTENT PERMITTED BY LAW.

DEVELOPER NETWORK DOES NOT WARRANT THAT:

  • THE SERVICES WILL ALWAYS BE AVAILABLE;
  • THE SERVICES WILL BE ERROR-FREE;
  • PROJECTS WILL BE AVAILABLE;
  • YOU WILL BE SELECTED FOR A PROJECT;
  • YOU WILL EARN ANY PARTICULAR AMOUNT;
  • YOU WILL OBTAIN EMPLOYMENT;
  • MEMBERSHIP WILL PRODUCE ANY PARTICULAR PROFESSIONAL OR FINANCIAL RESULT; OR
  • THIRD-PARTY SERVICES WILL FUNCTION WITHOUT INTERRUPTION.

Nothing in these Terms excludes rights or warranties that cannot legally be waived.

25. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, DEVELOPER NETWORK AND ITS OFFICERS, EMPLOYEES, CONTRACTORS, AFFILIATES, AND AGENTS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATING TO THE SERVICES.

THIS INCLUDES, TO THE EXTENT PERMITTED BY LAW, LOST PROFITS, LOST WAGES, LOST DATA, LOST BUSINESS, LOST OPPORTUNITIES, OR LOSS OF GOODWILL.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, DEVELOPER NETWORK'S TOTAL LIABILITY ARISING FROM OR RELATING TO THE SERVICES WILL NOT EXCEED THE GREATER OF:

  1. THE AMOUNT YOU PAID DIRECTLY TO DEVELOPER NETWORK DURING THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM; OR
  2. $500.

These limitations do not apply where prohibited by applicable law.

26. Indemnification

To the extent permitted by law, you agree to indemnify and hold harmless Developer Network and its officers, employees, contractors, and affiliates from third-party claims resulting from your:

  • intentional misconduct;
  • unlawful activity;
  • infringement of third-party intellectual-property rights;
  • fraudulent or materially misleading information;
  • misuse of the Services; or
  • material violation of these Terms or an applicable Project Agreement.

This provision does not require you to indemnify Developer Network for Developer Network's own unlawful conduct.

27. Dispute Resolution

Before filing a formal claim, you and Developer Network agree to make a good-faith effort to resolve the dispute informally.

A party initiating a dispute should provide written notice describing the dispute and requested resolution.

The parties will have at least thirty (30) days after receipt of the notice to attempt to resolve the dispute.

Nothing prevents either party from filing an eligible claim in small claims court.

Binding Arbitration

Except for eligible small claims matters and disputes for which arbitration cannot legally be required, disputes arising out of or relating to these Terms or the Services will be resolved through binding individual arbitration administered by the American Arbitration Association under its applicable rules.

YOU AND DEVELOPER NETWORK WAIVE THE RIGHT TO HAVE COVERED DISPUTES DETERMINED BY A JUDGE OR JURY.

Class Action Waiver

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, YOU AND DEVELOPER NETWORK AGREE THAT COVERED CLAIMS WILL BE BROUGHT ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS PART OF A CLASS, COLLECTIVE, CONSOLIDATED, OR REPRESENTATIVE ACTION.

If applicable law prevents enforcement of this provision for a particular claim or remedy, that portion of the dispute will be handled as required by law.

28. Governing Law

These Terms are governed by the laws of the State of Idaho, without regard to conflict-of-law principles, except where federal law or non-waivable law of another jurisdiction applies.

29. Changes to These Terms

Developer Network may update these Terms from time to time.

The updated Terms will display a revised effective date.

If a change materially affects your rights or obligations, Developer Network will provide notice when required by applicable law.

Your continued use of the Services after updated Terms become effective constitutes acceptance of the revised Terms to the extent permitted by law.

Changes to paid membership terms are additionally subject to the Membership Agreement.

30. Assignment

You may not assign your rights or obligations under these Terms without Developer Network's written consent.

Developer Network may assign these Terms in connection with a merger, acquisition, reorganization, financing, sale of assets, or similar transaction.

31. Severability

If any provision of these Terms is determined to be invalid or unenforceable, the remaining provisions remain effective.

32. No Waiver

Failure to enforce a provision of these Terms does not waive the right to enforce it later.

33. Entire Agreement

These Terms, together with the Privacy Policy, Membership Agreement when applicable, Project Agreements when applicable, and documents expressly incorporated into them, constitute the applicable agreement between you and Developer Network concerning the Services.
